Terms of Service

1. Agreement to Terms
These Terms constitute a legally binding agreement between you and ExemptHQ LLC governing your access to and use of the ExemptHQ platform, including all associated services, features, content, and functionality.
By creating an account or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you're using the Service on behalf of a business or legal entity, you represent that you have authority to bind that entity to these Terms.
2. Description of Service
ExemptHQ is an exemption certificate lifecycle management platform providing:
2.1 Certificate Management Features
- Exemption Certificate Collection through email workflows and customer portals
- Secure Certificate Storage with metadata tracking
- Expiration Tracking with automated notifications and renewal workflows
- Certificate Request Management for outbound collection campaigns
- Customer Management for tracking exempt customers and their certificate status
- Audit Pack Export for compliance documentation
2.2 Automation and Integration
- Automated Reminders for certificate follow-ups and expiration notices
- Bulk Import and Export of customer and certificate data
- REST API for programmatic access
- Webhook Notifications for real-time event streaming
- Third-Party Integrations via connected systems
2.3 Third-Party Integrations
The Service integrates with connected systems to sync customer data and exemption certificates. Integrations are subject to third-party terms and API availability.
2.4 Third-Party Integration Authorization
When you connect a third-party service (such as Avalara, Shopify, HubSpot, Chargebee, BigCommerce, Stripe, WooCommerce, QuickBooks, or similar providers) to ExemptHQ by providing API credentials, OAuth tokens, or similar access mechanisms, you authorize ExemptHQ to act as your agent in accessing that service on your behalf, solely to provide the features you have configured.
By connecting a third-party service, you represent and warrant that:
- You have the lawful right under your agreement with that third-party provider to grant ExemptHQ access using the credentials you provide;
- The credentials belong to your account or an account you are authorized to administer;
- You will comply with the third-party provider's terms of service in connection with such access; and
- You remain the data controller for any of your data accessed, transmitted, or stored through the integration.
ExemptHQ accesses third-party services solely through the provider's documented APIs and only as needed to deliver the features you have enabled. You may revoke ExemptHQ's access at any time by disconnecting the integration in your settings or by rotating the underlying credentials. ExemptHQ is not a party to your agreement with any third-party provider, and your relationship with such providers is governed exclusively by your agreement with them.
3. Account Registration and Security
You must create an account with accurate, complete information. You are responsible for:
- Maintaining the confidentiality of your credentials
- All activities that occur under your account
- Notifying us promptly of any unauthorized access
- Ensuring that all authorized users comply with these Terms
4. Customer Data
You retain all ownership rights in data you upload or provide ("Customer Data"). You grant a limited, non-exclusive license to use, process, store, and transmit Customer Data solely to provide the Service.
We implement commercially reasonable technical, administrative, and physical safeguards including:
- Encryption for sensitive data at rest
- TLS encryption for data in transit
- Access controls and authentication requirements
- Regular security assessments
Upon account termination, you may request Customer Data export within 60 days.
5. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose
- Upload viruses, malware, or other harmful code
- Attempt to gain unauthorized access to any part of the Service
- Interfere with or disrupt the Service or its infrastructure
- Reverse engineer, decompile, or disassemble any component of the Service
- Resell, sublicense, or redistribute the Service without authorization
6. Fees and Payment
Subscriptions are billed in advance and automatically renew unless cancelled. We may change fees upon 60 days' notice before your renewal date.
Fees are generally non-refundable. If you cancel within the first 30 days of a new subscription, you may request a full refund.
7. Service Availability
We use commercially reasonable efforts to make the Service available 24/7, except for scheduled maintenance and circumstances beyond our reasonable control. Features may be modified, updated, or discontinued with reasonable notice of material changes.
8. Intellectual Property
The Service and its original content, features, and functionality are owned by ExemptHQ LLC and are protected by intellectual property laws. You receive a limited, non-exclusive, non-transferable license to access and use the Service during your subscription period.
9. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not provide tax, legal, or accounting advice. The Service is a certificate management tool, not a substitute for professional tax advice. You are solely responsible for your tax compliance decisions.
10. Limitation of Liability
To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages. Our total liability shall not exceed the amounts paid by you in the 12 months preceding the claim.
11. Indemnification
You agree to indemnify, defend, and hold harmless ExemptHQ LLC, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from your use of the Service, violation of these Terms, violation of applicable law, or your Customer Data.
12. Term and Termination
You may cancel your subscription at any time through your account settings. We may suspend or terminate your access if:
- You violate these Terms
- Your payment is delinquent
- Required by law
- The Service is discontinued (with 90 days' notice)
13. Dispute Resolution
These Terms are governed by the laws of the State of Texas without regard to conflict of law principles. Any disputes shall be resolved exclusively in the state or federal courts located in Collin County, Texas.
14. General Provisions
These Terms, together with the Privacy Policy, constitute the entire agreement regarding the Service. We may modify these Terms by posting updated versions, with material changes communicated via email or through the Service.
